Terms of Use

This document sets forth the Terms of Use agreement ("Terms", "this agreement") between you and SG Application Developing LLC (“us”, “our”, “we") regarding your use of SG Application Developing LLC’s software products and/or services (“the App”, "the Service"), including websites and the application Maestro Pitch. Apple Inc. is not a party to this agreement and is not responsible for the App. You are licensed to use these services only under the terms of this agreement. The conditions of this agreement are set forth below.

1. Acceptance/Consent

By accessing any of our services, including browsing one of our websites or installing or otherwise using the App, you are guaranteeing that you have:

• Read and fully accept these Terms of Use without any exceptions.
• Read and fully consent to the usage of your personal data as outlined in the Privacy Policy without any restrictions.

In the event that you have any disagreement with these terms, you must immediately stop any and all usage of our products and services.

You also agree to comply with all applicable third party terms of agreement while using the Service.

2. General

This document and the Privacy Policy constitute the entire agreement solely between you and SG Application Developing LLC over the usage of the relevant products and services. Any prior understandings are superseded by this agreement and Privacy Policy.

You agree that Apple Inc. and its subsidiaries are third party beneficiaries to this agreement, and that upon your acceptance of this agreement Apple Inc. will have the right (and will be deemed to have accepted the right) to enforce this license agreement against you as a third party beneficiary thereof.

This document applies to all users of SG Application Developing LLC's products and services.

2.1 A waiver to any term set forth by this agreement shall only be in effect if handwritten and signed by SG Application Developing LLC.

2.2 The Service and these Terms are addressed to private consumers who are of age. The use of the Service by minors without their guardian's consent is not permitted.

2.3 These Terms and your use of the Service shall be governed according to the laws and under the jurisdiction of the state of Texas and the federal laws of the United States. All legal disputes in connection with these Terms or with the service shall be resolved exclusively by the courts of the state of Texas. By using the service, you agree not to bring forth any legal action against SG Application Developing LLC in any jurisdiction except that of the state of Texas.

3. Severability

If any portion of this agreement or our Privacy Policy is deemed to be illegal or unenforceable by a court of law, then that specific provision shall, to such jurisdiction, be deemed severed and shall not affect the enforceability or validity of any remaining provisions or in any other jurisdiction.

4. Use of Service

4.1 Subject to your continuing compliance and agreement with this Terms of Use, SG Application Developing LLC hereby permits your non-exclusive, non-sublicensable, non-transferable, and revocable use of its services provided that you abide by the following conditions:

• 4.1.1 All uses of the Service are solely personal and are never for commercial purposes. Your use of the Service will always be consistent with the original intent and spirit of the App. This includes the usage of any audio files, sounds or musical contents provided by the service.
• 4.1.2 You may not share, lease, sell, duplicate, transfer or otherwise distribute any version of the Service, in whole or in part, to any third party without SG Application Developing LLC's explicit written consent.
• 4.1.3 You may not alter or modify, or attempt to alter or modify, any part of the Service, including but not limited to isolating or changing files that are a part of the Service, unless otherwise granted explicit written consent from us.
• 4.1.4 You may not reverse engineer, decompile, integrate, or otherwise try to derive the source code of the Service, of any underlying software, or of any intellectual property used to provide the Service, unless otherwise granted explicit written consent from us.
• 4.1.5 You comply with all applicable United States export laws and regulations, and you certify that i) you are not located in a country that is designated by the U.S. Government as a "terrorist supporting" country, and you are not located in a country that is subject to a U.S. Government embargo, and ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

4.2 You acknowledge that we, and not Apple Inc., may provide maintentance to the Service and that the Service functionality may depend on external factors including but not limited to network connections and underlying software updates, therefore we cannot guarantee that the Service will always be readily available at any given time or location of your choosing, and we are not liable for any service disruption.

4.3 You acknowledge that SG Application Developing LLC is not required to provide any form of support Services with respect to the Service. You may contact us by email, but you acknowledge that we are not obligated to respond.

4.4 We may host information that provides links to third party websites not controlled by SG Application Developing LLC. By using the Service, you acknowledge that we are not liable for any damages, direct or indirect, or any other claim arising from your interactions with these third parties.

4.5 We reserve the right to determine what user behavior is or is not in violation of these Terms for Use of Service, and we reserve the right to determine what conduct is or is not consistent with the original intent and spirit of the App. You acknowledge that any violations of these obligations listed above may be grounds for damages and prosecution.

5. Purchases

5.1 We reserve the right to offer licenses for our software under a payment subscription plan. Subscription plans may be used to provide a user with unlimited access to all features of the Service. Information about these plans may be available within the Service and on the market where the applications and services are hosted.

5.2 We reserve the right to modify or remove any existing features of subscription plans as well as create a new subscription plan.

5.3 You may purchase a non-transferable, non-refundable, auto-renewable subscription plan. Funds will be regularly collected as per the terms of the subscription. You are only allowed to purchase our subscriptions through the Service or the market it is hosted on. A subscription for any given period is final and non-refundable except where required under applicable law, although the renewing subscription may be cancelled at any time in the settings on your device. Purchasing the subscription through the App Store shall cause you to enter an agreement with Apple Inc., and their terms of use and payment shall apply.

5.4 You accept full responsibility for any unauthorized use of the App by minors, including any financial transactions carried out by a minor using your payment information.

5.5 You accept that SG Application Developing LLC is not required to provide a refund, and you will not receive a refund for an unused subscription.

5.6 We reserve the right to terminate your subscription at any time without providing a reason for termination.

6. Ownership and Intellectual Property

6.1 SG Application Developing LLC reserves all rights, including without limitation, all intellectual rights and proprietary rights, in connection with the Service.

We may serve as a licensee to deliver some parts of the Service's functionality, but we maintain conformity with any of those license restrictions, and it is solely our obligation to do so.

6.2 Despite anything to the contrary set forth in these Terms, by using the Service you acknowledge and agree that you shall have no ownership or any other property interest regarding your use of the contents of this Service. This includes any usage of the audio files or sound content provided by the service. You are only permitted to use the service as per the Use of Service terms.

You acknowledge and agree to not use, distribute, copy or otherwise modify any part or property of the Service in ways other than what is expressly permitted by these Terms.

SG Application Developing LLC, not Apple Inc., will be solely responsible for the settlement, defense, and discharge to any third party property right infringement claims.

7. Feedback

If you decide to provide SG Application Devoloping LLC any kind of suggestions or feedback, you grant and acknowledge that SG Application Developing LLC has the perpetual, irrevocable, royalty-free, non-exclusive, worldwide right to use this feedback in any way, including any distributions of the feedback or any modifications made to it, without being entitled to give compensation or credit back to you in any capacity.

8. Warranty Disclaimer

8.1 The Service is provided on an "as is" and "as available" basis, and we do not guarantee that the Service will meet the user's requirements. Use of our services shall be at your own risk.

8.2 To the fullest extent applicable by law, SG Application Developing LLC grants no warranty of any kind, expressed or implied, with the Service or your use thereof. We also disclaim any warranties on behalf of Apple, Inc.

8.3 We do not warrant that the Service will always be accessible, and that the Service and its content will be error-free, complete, accurate, and/or lack omissions.

8.4 We do not warrant that any possible errors or defects will be corrected.

8.5 We do not warrant that the Service will be free of viruses or any malware transmitted by a third party.

8.6 We do not warrant for any damages of any kind, including direct, indirect, tangible or otherwise, incurred as a result of interacting with the Service.

9. Limitation of Liability; Indemnity

9.1 Neither SG Application Developing LLC or Apple Inc. shall be liable to you for any damages whatsoever, whether they be direct, indirect, tangible, punitive, incidental, or otherwise, arising out of or related to these Terms of Service or your use of the service in any way, regardless if whether or not SG Application Developing LLC has been advised of the possibilities of such damages. SG Application Developing LLC and Apple Inc. shall not be liable for any damages due to service interruptions, damages due to any viruses or malware transmitted to the service from a third party, or damages due to any errors or mistakes in the content of the service.

9.2 To the extent applicable by law, SG Application Developing LLC shall not ever be liable to you for more than the amount you paid SG Application Developing LLC in accordance with the Terms of this agreement. If you have never entered any monetary transactions with SG Application Developing LLC, then you agree that the matter will be solely resolved by you uninstalling the service from your device.

9.3 You agree and acknowledge to indemnify SG Application Developing LLC from any and all damages, liabilities, losses, obligations, expenses (including but not limited to any legal fees) or any other claims resulting from your use of the service or any breach by you of these Terms.

11. Changes

We reserve the right to update this agreement, the Privacy Policy, and the Service at any time. This includes the right to terminate with or without notice. Your continued use of our services will be deemed as your acceptance of these changes. You can always check this site to find the latest terms.
